These Terms & Conditions (the "Terms") govern your access to and use of the website, services, events, and products provided by Fractional Creative ("Fractional," "we," "us," or "our"). By accessing our website, submitting an application, purchasing a service, attending an event, or otherwise engaging with Fractional Creative or our website, you agree to be bound by these Terms.

2. Overview of Services
Fractional Creative provides subscription-based and ongoing professional services, including but not limited to:
- Fractional design services
- Fractional Webflow development services
- Advertising and growth management
- Website foundations and ongoing website support plans
- Community events and sponsorship opportunities
Specific service details, deliverables, and pricing are outlined on our website or in written agreements provided at the time of engagement.
3. Foundations Website Program
3.1 Free Website Build
The Foundations program includes a website build provided at no upfront cost. The website is created based on information supplied during onboarding and is intended to be a professional, functional starting point for your business.
3.2 Foundations Plan
After launch of the free website, participation in the Foundations program requires enrollment in the Foundations Plan, currently priced at $99 CAD per month, unless otherwise stated in writing. This plan includes hosting, SSL, security, ongoing support, and access to the Fractional dashboard.
3.3 Scope and Limitations
The free website build is not a custom or enterprise-level website. Requests outside the intended scope of Foundations may require upgrading to additional Fractional services.
3.4 Missed payments
Our Foundations plan runs on an automated payment processor that charges once per month. If a payment is missed for any reason then we will unpublish your website and end a monthly hosting agreement for your website. If you are going to have issues with a credit card payment for any reason please reach out to our team.
3.4 Leaving the Fractional space
3.4.1 Company closing
A company that needs to cancel due to their business closing can simply cancel their Foundations plan. Once the remainder of your monthly term is up we will remove your site from public view by unpublishing to your domain.
3.4.2 Leaving by choice
Business owners may opt to leave the Fractional space with their website by choice. If this is the case we will migrate your website to a Webflow account owned by you for a one-time migration fee of $499 CAD.
4. Subscription Services
4.1 Service Structure
Fractional Creative services are offered on a subscription or recurring basis. Services are designed for ongoing collaboration rather than one-off project delivery.
4.2 Turnaround and Delivery
While we aim to work efficiently and consistently, timelines are estimates and not guarantees. Work is prioritized based on active requests, scope, and current capacity.
4.3 No Guaranteed Results
We do not guarantee specific outcomes, performance metrics, traffic, revenue, or advertising results. All services are provided on a best-effort basis. This applies to all services offered.
5. Payments and Billing
5.1 Fees
All fees are clearly communicated prior to service activation. Prices are subject to change with notice. Notice will be given via Email and dashboard notifications.
5.2 Billing Cycle
Subscriptions are billed monthly unless otherwise specified. Payment is required to maintain access to services.
5.3 Late or Failed Payments
Failure to process payment may result in paused services, suspension of access, or termination of services.
6. Cancellations and Pauses
Clients may cancel or pause services according to the terms outlined at the time of subscription. Services remain active until the end of the current billing period unless stated otherwise.
No refunds are provided for partial billing periods.
7. Client Responsibilities
You agree to:
- Provide accurate and complete information during onboarding
- Respond to requests for clarification or approvals in a timely manner
- Ensure you have rights to any content, logos, or materials you provide
Fractional Creative is not responsible for delays caused by missing or incorrect information.
8. Intellectual Property
8.1 Client Materials
You retain ownership of materials you provide to us.
8.2 Work Product
Upon active subscription and payment, you are granted rights to use the work produced for your business. Fractional Creative retains the right to display work for portfolio or promotional purposes unless otherwise agreed in writing.
9. Events and Sponsorships
9.1 Event Participation
Attendance at Fractional Creative events is voluntary. We reserve the right to refuse entry or remove participants whose behavior is disruptive, inappropriate, or misaligned with the event intent.
9.2 Sponsorships
Sponsorship opportunities are subject to approval. Sponsorship fees are non-refundable unless otherwise stated in writing. Compensation for sponsporship materials will not be privided.
10. Confidentiality
Both parties agree to keep confidential information private unless disclosure is required by law or permitted in writing.
11. Third-Party Services
Fractional Creative may rely on third-party tools, platforms, or providers. We are not responsible for outages, errors, or changes caused by third-party services.
12. Limitation of Liability
To the maximum extent permitted by law, Fractional Creative shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, data, or business opportunities.
Our total liability shall not exceed the fees paid by you in the two months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Fractional Creative from any claims arising from your use of the services, violation of these Terms, or infringement of third-party rights.
14. Termination
We reserve the right to terminate or suspend access to services at our discretion if these Terms are violated.
15. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of our services constitutes acceptance of the updated Terms.
